Corporate owner of New Holland, Case IH brands to acquire Hemisphere GNSS to bring core satellite navigation technology in house.

CNH Industrial to acquire Hemisphere GNSS
TECH ACQUISITION: CNH Industrial has announced it will acquire Hemisphere GNSS, a move designed to bring precision correction technology in-house as part of its strategy to advance automation and autonomy technology.Courtesy of CNH Industrial

The path to autonomy will require a lot of building blocks, including increasing precision for machines in the field. CNH Industrial has announced it will acquire Hemisphere GNSS which in its media announcement characterizes the move as “a critical step that advances our automated and autonomous solutions for agriculture and construction.”

Hemisphere GNSS is considered a global leader in high-performance satellite positioning technology and currently owned by Unistrong, a company incorporated in the People’s Republic of China. This acquisition, combined with the Raven brand’s capabilities, provides greater control of precision and navigation technologies the company requires for the future.

In the announcement, Marc Kermish, chief digital and information officer, CNH Industrial, explains that this move enhances the company’s automation and autonomy tech stack. “Having Hemisphere’s technology in-house will enable us to accelerate a broad range of our precision technology programs, providing our customers with immediate productivity enhancing solutions. I will also increase the long-term competitiveness and flexibility of our agriculture and construction portfolio,” he says.

Hemisphere has proprietary Global Navigation Satellite System solutions offering precision accuracy for the agriculture, construction, mining and marine industries. The company designs electronic systems and software solutions. Its core technology capabilities include application-specific integrated circuit chips, circuit boards, radio frequency signal processing, navigation algorithms and satellite-based correction designs. It will continue to operate as a standalone business through operations in the United States, Canada and Australia. One of Hemisphere’s brands includes Outback Guidance based in Hiawatha, Kan.

The expertise and technology from Hemisphere will be integrated into CNH Industrial brand products and services, according to the media announcement.

Farlin Halsey, president and CEO, Hemisphere GNSS, notes that the acquisition by CNH Industrial “enables us to further enhance our technology and product development in core GNSS, agriculture, construction, marine and machine control markets, and to directly integrate our technology with CNH Industrial’s world class equipment.”

CNH Industrial reports the acquisition cost is $175 million free of cash and debt. The acquisition will be funded with available cash on hand. Closing is expected to occur within the third quarter of 2023, subject to satisfactory completion of all required closing conditions including Unistrong’s shareholders’ approval, and all mandatory regulatory approvals, including those required by applicable laws and regulations for China.
